These Terms of Service ("Terms") govern your use of VCNet LLC's ("VCNet," "we," "us," or "our") website, desktop software, web-based tools, experiments (including illgati, at illgati.com and app.illgati.com), the Pixosight licensing portal, and related products or services. By accessing or using any VCNet product or service, you agree to be bound by these Terms. If you do not agree, do not use our products.
If you use Pixosight desktop software, your use is also governed by the Pixosight End User License Agreement, which is incorporated by reference into these Terms.
1. Acceptance of Terms
Use of any VCNet product — including our website, Pixosight software, the Pixosight portal, web tools, and experiments — constitutes acceptance of these Terms. These Terms apply to all users and are effective upon first use.
2. Account Registration and Eligibility
To access the Pixosight portal, you must create an account by providing accurate and complete information. Portal accounts represent organizations. Users who create or join an organization account act on behalf of that organization and, where applicable, bind the organization to these Terms.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. VCNet may suspend or terminate accounts that violate these Terms, provide false information, or engage in conduct that creates legal, security, or operational risk.
3. Software License
3.1 Grant of License
Upon purchase of a valid license, VCNet grants you a limited, non-exclusive, non-transferable license to install and use the licensed software within the scope defined by your license type and purchase terms. Licenses are available as recurring subscriptions (monthly or annual) or as perpetual licenses for a specific major version.
Pixosight licenses are owned by the organization (the account entity), not by individual Windows users. One license seat permits one activated PC at a time. Multiple Windows users on the same machine share one activation through machine-wide license storage. Multi-seat and volume arrangements are available by inquiry.
3.2 Version Entitlement
Subscription licenses (monthly and annual) include access to new features, improvements, and future major version updates as they are released. Subscribers receive access to the evolving product — including upcoming automation tools and other capabilities in development — for as long as their subscription remains active.
Perpetual licenses cover the major version specified at the time of purchase plus minor updates within that version, including bug fixes and patches. Perpetual license holders do not automatically receive access to future major versions or features designated for subscription holders. Upgrade paths from one major version to the next may be available by inquiry; contact us at info@vcnet.us for options.
VCNet determines what constitutes a major versus minor release at its sole discretion.
3.3 Device Activation, Validation, and Transfers
Pixosight activates against the portal. The desktop app contacts VCNet LLC servers to activate and periodically confirm license validity. Data transmitted includes a machine identifier derived from hardware characteristics, the license key or ID, and a timestamp. This information is used for license enforcement and support, not for advertising or user profiling.
Activation count is managed per organization. One license seat = one activated PC at a time. If a subscription lapses or is canceled, activations will stop being renewed and the app will eventually reach its offline grace period. Your local Pixosight project files are not affected by license status.
License transfers between machines are supported on a reasonable-use basis through the portal. VCNet reserves the right to limit or deny transfers in cases of suspected abuse.
3.4 Trial Access
A trial account may be registered through the Pixosight portal without a subscription or payment. Trial access grants use of Pixosight for evaluation under these same license Terms. Trial access is time-limited or capacity-limited per VCNet's current trial policy. VCNet may modify or end trial terms at any time.
Commercial production use of trial or evaluation software without a paid license is prohibited.
3.5 Restrictions
- You may not distribute, sublicense, sell, rent, lease, or share your license key
- You may not copy, modify, reverse engineer, decompile, or disassemble the software except where expressly permitted by law
- You may not bypass, disable, or interfere with license activation, validation, or access controls
- You may not use the software in violation of any applicable law
3.6 Support
The portal support ticket system and the Report a Bug and Request a Feature tools inside the Pixosight desktop app are the primary support channels for bug reports and feature requests. VCNet is committed to helping customers succeed with Pixosight and will assist with reasonable questions about installation, configuration, calibration, and general use. info@vcnet.us is available as an alternative contact.
For organizations that need dedicated support with guaranteed response times and defined resolution commitments, VCNet offers support contracts. Contact us to discuss available options. Base licenses do not include a formal support contract unless one is separately agreed to in writing.
3.7 Software Updates
Subscriptions include access to software updates during the active subscription period. Perpetual licenses cover updates within the purchased major version. Major version upgrades are not guaranteed to be included.
If automatic updates are made available, they will be optional or clearly disclosed. You may continue using your current version unless an update is required for security, license validation, compatibility, or legal reasons.
Access after cancellation. When a subscription ends, license access ends. Pixosight will no longer run under that license. Calibration profiles, exported images, and other files stored locally on your machine remain yours; only access to the running software ceases.
Subscription features. Active subscription holders receive access to new features, including upcoming automation tools, batch processing, and other capabilities in development, as those features are released. Feature development timelines are subject to change and are not guaranteed commitments.
Price changes. VCNet may adjust subscription pricing. If pricing for your active subscription changes, we will provide advance notice before the new price takes effect. Continued subscription after the effective date of a price change constitutes acceptance of the updated pricing. You may cancel before the effective date if you do not accept the new pricing.
4. Web Tools and Experiments
VCNet's web-based tools and experiments may be provided free of charge for personal or professional use. They are provided "as-is" with no warranty and no support commitment. VCNet makes no representation that any web tool is accurate, complete, uninterrupted, or fit for any particular purpose.
VCNet web tools are static and designed to run locally in your browser. VCNet does not intentionally collect or receive data generated through your use of these tools unless a specific tool clearly states otherwise.
You are responsible for reviewing outputs, calculations, measurements, generated files, or other results before relying on them.
4.1 illgati Accounts and Optional Cloud Features
illgati works entirely locally with no account at all — that's the default, and it runs entirely in your browser. Creating an account is a separate, optional step, currently granted by invite code during a closed beta, and puts you on the free "Lite" tier: signed in, but not syncing or sharing your own charts. A Lite account can still be invited to view, or edit at the sharer's discretion, a chart that someone on a "Pro" account shares with you. A further Pro upgrade, currently also granted by code, is what enables syncing your own charts across devices and sharing them, live, with people you invite. Local, Lite, and Pro use of illgati are all subject to these Terms.
There is no self-service checkout for Pro yet. VCNet may introduce paid Pro subscriptions in the future, at which point this section and Section 5 (Payment, Subscriptions, and Billing) will be updated to describe them before they take effect.
If you choose to lock a chart with a passphrase, that chart is encrypted before it leaves your browser using a key derived from your passphrase that never leaves your browser. That means a locked chart cannot be read from our servers or database alone. If you forget that passphrase, the encrypted copy stored on your account cannot be recovered by VCNet under any circumstances — only copies already saved locally in your own browsers remain accessible. You are solely responsible for remembering any passphrase you set and for keeping your own backups. A locked chart cannot be shared with other people.
A lapse in any future Pro subscription stops syncing, but does not delete charts already stored on your account, and never affects the copies saved in your browser. There is not yet a self-service option to delete an illgati account from within the app; to request deletion of your account or associated data, contact us as described in the Privacy Policy's "Your Rights and Choices" section.
If you share a chart with other people — including people using a free Lite account — you are responsible for the content you share and for the people you invite to view or edit it. VCNet is not responsible for content added by collaborators you invite, and may enforce reasonable limits on invitations, sharing, or storage to prevent abuse.
5. Payment, Subscriptions, and Billing
Online card payments are processed by Stripe, Inc. (stripe.com) on behalf of VCNet LLC. Stripe handles card data in accordance with PCI DSS requirements and its own privacy policy. ACH and bank-transfer payments are a manual arrangement only and may be processed through Found (found.com) according to its own terms. VCNet does not store raw payment card or bank account details. All prices are listed in U.S. dollars unless otherwise stated.
By purchasing through the Pixosight portal, you also agree to Stripe's Terms of Service. VCNet may receive and retain limited purchase-related information, such as your name, email address, transaction status, product purchased, purchase date, and license key, for support, accounting, tax, fraud prevention, and license management.
Subscription Management and Cancellation
Subscriptions renew automatically at the end of each billing period unless canceled through the Stripe Customer Portal before the renewal date. The Stripe Customer Portal, accessible via the portal billing page, is the correct path for subscription cancellation, payment method changes, and invoice access. Access continues until the end of the current billing period after cancellation. No prorated refunds are issued for mid-period cancellations except where required by applicable law.
Perpetual Licenses
Perpetual licenses are a one-time purchase that grants access to the current major release of the software. Perpetual license customers do not receive major version upgrades without a separate purchase.
ACH and Invoice Payments
ACH or invoice-based payments are a manual arrangement only and are not available through the self-service portal checkout. Contact info@vcnet.us to arrange alternative payment.
Refunds
Refund requests are handled on a case-by-case basis. To request a refund, contact us at info@vcnet.us within 30 days of the relevant charge with your order details and reason for the request. VCNet reserves the right to approve or deny refund requests at its discretion, except where a refund is required by applicable law. For subscriptions, partial-period refunds are not generally provided except where required by law.
6. Intellectual Property
All VCNet software, website content, tools, experiments, documentation, branding, designs, and associated materials are owned by VCNet LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Nothing in these Terms transfers ownership of any intellectual property rights to you. You receive only the limited rights expressly described in these Terms or in your applicable license.
7. User Content and Local Data
Some VCNet tools may allow you to load, enter, calculate, measure, process, or generate information locally on your own device. You are responsible for the content and data you choose to use with VCNet products.
For tools designed to run locally in your browser or on your machine, VCNet does not claim ownership of your files, inputs, measurements, calculations, or outputs. You are responsible for saving, backing up, reviewing, and protecting your own data.
8. Acceptable Use
You agree not to use VCNet products or services to:
- Violate any applicable law or regulation
- Infringe the rights of VCNet or any third party
- Interfere with, disrupt, abuse, or attempt to gain unauthorized access to VCNet systems
- Bypass license restrictions, activation systems, security features, or usage limits
- Distribute malware, harmful code, or deceptive content
- Misrepresent your identity, purchase status, license status, or authorization to use a product
9. Disclaimer of Warranties
ALL VCNET PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AVAILABILITY, COMPATIBILITY, OR NON-INFRINGEMENT.
VCNet does not warrant that the software, website, portal, tools, experiments, license systems, or related services will be error-free, uninterrupted, secure, compatible with every system, or free of harmful components. Use is at your own risk.
Measurement results, calculations, outputs, and other results produced by VCNet products, including Pixosight, should be reviewed and validated against your own standards. They should not be relied upon as the sole source of truth for safety-critical, medical, legal, financial, engineering-critical, or regulatory applications.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VCNET LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, PERSONAL INJURY, LOSS OF GOODWILL, OR COST OF SUBSTITUTE PRODUCTS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE ANY VCNET PRODUCT OR SERVICE, EVEN IF VCNET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VCNet's total liability for any claim arising from or related to these Terms or use of our products shall not exceed the amount you paid directly to VCNet for the product or service giving rise to the claim in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless VCNet LLC and its members, officers, agents, contractors, and service providers from any claims, damages, losses, liabilities, costs, or expenses, including reasonable legal fees, arising from: (a) your use of VCNet products in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party rights; or (d) your misuse of a license key, activation system, website, tool, or service.
12. Privacy
Your use of VCNet products is also governed by our Privacy Policy, which explains how we collect, use, and handle information.
13. Termination
VCNet may suspend or terminate your account, license, access, or right to use any VCNet product if you violate these Terms, misuse a license key, attempt to bypass restrictions, or use a product in a way that creates legal, security, or operational risk.
Upon termination, you must stop using the affected software or service. Provisions of these Terms that by their nature should survive termination, including intellectual property, payment obligations, warranty disclaimers, limitations of liability, indemnification, and dispute provisions, will continue to apply.
14. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of Maine and applicable United States federal law, without regard to conflict of law principles.
Any dispute arising from or related to these Terms, VCNet products, or your use of VCNet services shall be handled in the appropriate state or federal courts located in Maine, unless applicable law requires otherwise.
15. Changes to These Terms
VCNet may modify these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of any VCNet product after changes are posted constitutes acceptance of the updated Terms.
If a change materially affects a paid license, the change will apply going forward and will not retroactively remove rights already granted under a valid license unless required by law, necessary for security, or related to misuse or violation of these Terms.

These Terms are provided to describe the rules that apply to VCNet products and services. They are not legal advice. If you have legal questions about your rights or obligations, you should consult a qualified attorney.
